According to article 7 of the OHADA Law of 2014, a natural person or legal entity may not become a member of a commercial company if he has been subject to a ban, legal incapacity, or incompatibility within legal and regulatory guidelines.
Minors and legally incapacitated adults may not be members of a company in which they would be liable for the company debts beyond their contributions.
Spouses may not be members of a company in which they would be indefinitely or jointly and severally liable for the company debts.
